AND SHALL BE CONSTRUED AND EVALUATED ACCORDING TO THE LAWS OF THE 50 UNITED STATES & WASHINGTON, D.C. PLEASE DO NOT ENTER IF YOU ARE NOT A LEGAL RESIDENT OF, AND NOT LOCATED IN, THE 50 UNITED STATES OR WASHINGTON D.C. AT TIME OF ENTRY. BY ENTERING THE PROMOTION, AN ENTRANT WILL BE DEEMED TO ABIDE BY AND CONSENT TO THESE OFFICIAL RULES. AN ENTRANT MUST CONTINUE TO COMPLY WITH ALL TERMS AND CONDITIONS OF THESE OFFICIAL RULES THROUGHOUT THE PROMOTION PERIOD. INTERNET ACCESS AND VALID EMAIL ADDRESS REQUIRED TO ENTER. 1. PROMOTION OVERVIEW: The SUBWAY® Footlong Nation Appreciation™ Games ("Promotion") consists of On-line Instant Win Games (hereinafter collectively referred to as the "Instant Win Games) and a Token of Appreciation Game ("Token of Appreciation Game"), all of which are hereinafter collectively referred to as the "Games". After registering to enter, you will have the opportunity each day to play the Instant Win Games, up to nine times per day, for a chance to win a valuable Instant Win Game Prize. Each Code may only be entered once per registrant. You may also play by using Bonus Game Plays. Additionally, you may participate in the Token of Appreciation Game following the instructions in Rule 6 below for a chance to win a Token of Appreciation Game Prize. You may participate in one or all of the Games. After successfully registering for the Promotion, each entrant will receive a "Token Thank You" regardless of whether or not the entrant is a winner in any of the Instant Win Games.
2. ELIGIBILITY: The Promotion is open only to legal residents of the fifty (50) United States and District of Columbia who are 13 years or older as of date of entry. Residents of Puerto Rico are ineligible to enter or win. Officers, directors, employees and independent contractors of the SUBWAY Franchisee Advertising Fund Trust Ltd., Doctor's Associates Inc., SUBWAY® restaurants, Jack Morton Worldwide, PrizeLogic LLC ("PrizeLogic"), The Coca-Cola Company, Frito-Lay North America, Inc., all prize providers, and their respective parent, subsidiary and affiliate companies, suppliers and the members of each of their household and immediate family (e.g., spouse, parents, grandparents, siblings, children, the "steps" of each and each of their household members), collectively referred to as "Sponsor & Others", are not eligible to enter or win.
3. SPONSOR: The sole sponsor of the Promotion is: SUBWAY Franchisee Advertising Fund Trust Ltd., 488 Wheelers Farms Road, Milford, CT 06461 ("Sponsor").
4. HOW TO ENTER THE INSTANT WIN GAMES: The Promotion starts on 2/4/10 at 12:00 A.M. Eastern Time ("ET") and ends on 4/15/10 at 11:59:59 P.M. ET ("Promotion Period"). To register and enter the Promotion, go to www.SUBWAYfreshbuzz.com ("Website") during the Promotion Period, and enter the requested information including your name, date of birth and valid email address. After you have successfully registered, you may enter each day during the Promotion Period by returning to the Website and entering your email address and a Code. You may play a maximum of nine (9) games each day by entering the various Codes listed below; except that you may be eligible to receive Bonus Game Plays allowing you additional Game Plays as described in Rule 5(B) below. A day is defined as a calendar day commencing at 12:00 A.M., ET (Midnight) and ending at 11:59:59 P.M., ET. PrizeLogic's computer is the official clock for this Promotion.

5. HOW TO PLAY THE INSTANT WIN GAMES: There are three (3) different on-line Instant Win Games you may play: "The Fresh Choice", "The Token Tumble", and "Punch a Lunch". Follow the instructions on-line to learn how to play each Instant Win Game. Regardless of the Instant Win Game(s) you choose to play, you must have a Code to play the Instant Win Game and you may only use each Code once during the Promotion Period. Depending on the Code, the Code may be valid for either two (2) or three (3) Game Plays. Regardless of the Code and the number of Game Plays it is valid for, you may use it to play whichever Instant Win Game(s) you select. For example, if your Code is valid for three (3) Game Plays, you may use all three (3) of the Game Plays to play one (1) of the Instant Win Games three (3) times or you may use your three (3) Game Plays to play each of the Instant Win Games once; if your Code is valid for two (2) Game Plays, you may use the two (2) Game Plays to play one (1) of the Instant Win Games twice or you may use one (1) Game Play to play two (2) different Instant Win Games once each. REMEMBER: Regardless of your Code and how you choose to use your Game Plays, you must use all of the Game Plays associated with that Code during the same Game Play session or you will forfeit any Game Plays you did not use. If you have more than one (1) Code, you may use the Codes during the same session but, you must use all of the Game Plays associated with all of those Codes during the same session or you will forfeit any Game Plays you did not use. You may play a maximum of nine (9) Game Plays each day; except that you may be eligible to receive Bonus Game Plays allowing you additional Game Plays as described in Rule 5(B). Limit: Regardless of the email address you use, the number of Game Plays you qualify for will be determined by the total number of Code Game Plays you have obtained each calendar day (maximum of nine [9] Code Game Plays) plus the total number of Bonus Game Plays you have obtained throughout the Promotion Period. (A) TO PLAY WITH A CODE & HOW TO OBTAIN CODES: You may obtain a Code as stated below. Regardless of which Code you are entering, after you have obtained your Code, log onto the Website and follow the instructions to enter your Code to play the Instant Win Game(s) of your choice, as stated in the preceding paragraph.
(i) Cup Code: Visit a participating Subway restaurant during the Promotion Period and purchase, while supplies last, a 32 oz. cup of a fountain drink which will contain a unique Code. Your Cup Code is valid for three (3) Game Plays.
(ii) Register Receipt Code: Visit a participating Subway restaurant during the Promotion Period, make a participating purchase with your Subway Card, and save your cash register receipt which will contain a unique Code. Your Register Receipt Code is valid for three (3) Game Plays.
(iii) Twitter™ Code: Sign up to follow Subway Twitter™ messages either on-line or by mobile phone, and you will receive new Twitter™ Codes as they are posted at http://twitter.com/subwayfreshbuzz. Your Twitter(tm) Code is valid for two (2) Game Plays. NOTE: If you elect to receive Twitter™ messages on your mobile phone, Message and Data Rates May Apply.
(iv) SMS/Mobile Code: Members of the Subway Mobile Marketing Database will receive a Code in a text message blast at the start of the Promotion Period. The SMS/text Code is valid for two (2) Game Plays. NOTE: Regardless of whether or not you are an existing member of the Subway Mobile Marketing Database at the time you register to enter the Promotion, you will be presented with an opt-in box. If you check the opt-in box, you will receive a text message containing another SMS/text Code that is valid for two (2) Game Plays. NOTE: If you elected to receive text message from Subway on your mobile phone, Message and Data Rates May Apply. Please consult your wireless service provider regarding its pricing plans. Not all cellular phone providers carry the necessary service to participate. Please check your phone's capabilities for specific text-messaging instructions;
(v) FSI Code: On Sunday, February 14, 2010, an FSI Code will appear in Subway's advertisement in the Free Standing Insert section of selected newspapers nationally. The FSI Code is valid for two (2) Game Plays.
(vi) Daily Complimentary Codes: If you do not have a Code or your Code(s) provide you with fewer than nine Game Plays to play on any given day, you may obtain a Code(s) without a purchase by visiting the Website where each day during the Promotion Period three (3) different Daily Complimentary Codes will appear in the Official Rules. Each Complimentary Code is valid for three (3) Game Plays.

(B) TO PLAY WITH BONUS GAME PLAYS & HOW TO OBTAIN BONUS GAME PLAYS: If you are not already a winner of an Instant Win Game, you can receive up to eighty-two (82) Bonus Game Plays in the following manner:. Limit: eighty-two (82) Bonus Game Plays throughout the Promotion Period. Follow the on-line instructions to obtain Bonus Game Plays as stated below. REMEMBER: Regardless of your Bonus Game Play and how you choose to use your Game Plays, you must use all of the Game Plays associated with that Bonus Game Play during the same Game Play session or you will forfeit any Game Plays you did not use.
(i) Play Again Bonus Game Plays: Each day during the Promotion Period, you will receive one (1) Play Again Bonus Play immediately following your first Game Play that is not a winning Game Play. Limit: One (1) Play Again Bonus Game Play each day.
(ii) On-line Banner Bonus Game Play: If you click on a Subway Footlong Appreciation banner ad, you will receive one (1) Banner Game Play. The Banner Game Play is valid for two (2) Game Plays;
(iii) Tell-A-Friend Bonus Game Plays: You can receive up to ten (10) Bonus Game Plays, two (2) Bonus Game Plays per friend, throughout the Promotion Period for each friend, not to exceed five (5) friends, you invite to participate in the Promotion. You may invite as many of your friends at a given time as you prefer, but you may not invite more than a total of five (5) friends throughout the Promotion Period. Additionally, you must use all of your Tell-A-Friend Bonus Game Plays during the same session that you invited those friends or you will forfeit the Bonus Game Plays you did not use. Limit: ten (10) Bonus Game Plays, two (2) Bonus Game Plays per friend, throughout the Promotion Period.

(C) WINNING GAME PLAYS: After your Game Play, you will be immediately notified if you are a potential Instant Win Game Prize Winner, pending verification of your Game Play, your eligibility and compliance with these Official Rules. Winners of an Instant Win Game Prize are not eligible to win another Instant Win Game Prize. In order for your Game Play to be a potentially winning Game Play, it must have occurred either at the exact randomly predetermined winning time as determined by PrizeLogic, or if no Game Play has occurred at that exact time, it must be the Game Play that occurred at the closest time following the randomly predetermined winning time. All winning Instant Win Game Prize winners are subject to verification and compliance with these Official Rules as determined by PrizeLogic, whose decisions are final and binding in all matters pertaining to this Promotion. To claim their Subway® Card, Instant Win Game Prize Winners must go to www.FootlongNationWinner.com prior to, 7/15/10 at 11:59:59 P.M., ET, and follow the on-line instructions to receive their respective Subway® Card by mail. Subway® Card must be used in compliance with their terms and conditions and as allowed by law. Subway® Cards not claimed by 7/15/10 at 11:59:59 P.M., ET will be forfeited. Subway® Cards will be mailed within approximately one month after Redemption Code has been entered at www.FootlongNationWinner.com and received by Sponsor. Regardless of Instant Win Game Prize won, it is not redeemable for cash, transferable or substitutable, except by Sponsor in its sole discretion with one of comparable or greater value. 6. HOW TO PARTICIPATE IN THE TOKEN OF APPRECIATION GAME: (A) HOW TO PARTICIPATE: There are two (2) ways to participate in the Token of Appreciation Game: (1) Each time you visit a participating Subway restaurant during the Promotion Period and purchase a specially marked package of Doritos® Blazin' Buffalo & Ranch™ Tortilla Chips, check inside the package to see if you have received a Token of Appreciation Game Piece that contains a special alphanumeric Game Piece Code; (2) To participate without a purchase, while supplies last, write your name, complete street address (no P.O.boxes allowed), valid email address, phone number and age on a 3"x5" card and mail it, along with a self-addressed stamped envelope, in a properly stamped outer envelope, postmarked by 4/15/10 and received by 4/23/10, to: Footlong Nation™ Token of Appreciation Game Piece Request, 25200 Telegraph Road, Suite 405, Southfield, MI 48033-7496. Vermont residents need not affix return postage. If the Token of Appreciation Game Piece you receive by return mail does not contain a special alphanumeric Game Piece Code, you are not a winner. If your Token of Appreciation Game Piece does contain a special alphanumeric Game Piece Code, carefully read and follow the instructions below. 7. CONDITIONS: (A) Compliance with Rules: By participating, participants: (i) acknowledge compliance with these Official Rules including all eligibility requirements and, (ii) agree to be bound by the decisions of the Sponsor and/or PrizeLogic, made in their sole discretion, which shall be final and binding in all matters relating to this Promotion. Participants who have not complied with these Official Rules are subject to disqualification. Sponsor & Others shall not be held responsible for any delays in awarding prizes for any reason outside of their control. Prizes will only be delivered to verified winners. Prizes will be delivered only to street addresses in the 50 United States and Washington, D.C. Prizes will not be delivered to P.O. boxes. Unclaimed prizes will not be awarded. If a potential winner is found to be ineligible, declines to accept a prize or Sponsor is unable to contact a potential winner within a reasonable period (as determined by Sponsor), or in the event that a prize confirmation or prize is returned undeliverable, the prize will be forfeited. All details and restrictions on prizes and prize use not set forth in these Official Rules will be determined by Sponsor in its sole discretion and will be provided to the applicable prize winner upon verification and award of the prize. Prizes will be awarded only if a participant meets all eligibility requirements and fully complies with these Official Rules. If there is a difference between the approximate and actual retail values of any prize, the winner is not entitled to the difference in value. Total ARV of all prizes: $74,250 (B) Disputes: If a dispute arises regarding who submitted an online entry, the entry will be deemed to be submitted by the authorized account holder of the email address provided at time of entry. Authorized account holder is defined as the natural person who is assigned to an email address by an Internet access provider, online service provider, or other organization responsible for assigning email addresses for the domain associated with the submitted email address.
8. INTERNET/LIMITATIONS OF LIABILITY: Sponsor & Others are not responsible for interrupted or unavailable network server or other connections; for miscommunications; failed telephone or computer transmissions; for jumbled, scrambled or misdirected entries or transmissions; for phone, electrical, network, computer hardware or software or program malfunctions, failures or difficulties; for other errors, omissions, interruptions, or deletions of any kind, whether human, typographical, mechanical or electronic; or for any damage to any person's computer related to participating in the Promotion. Sponsor & Others are not responsible for illegible, unintelligible, late, lost or stolen entries; for incorrect or inaccurate entry information, whether caused by Internet users or by any of the equipment or programming associated with or utilized in the Promotion; or for any technical, typographical or human errors which may occur in the processing of any entries in or the administration of the Promotion. Persons found tampering with or abusing any aspect of the Promotion, as solely determined by Sponsor, will be disqualified and may be subject to prosecution. Any person attempting to enter using multiple email addresses, multiple identities or any other device or artifice to enter multiple times or to interfere with the proper play of the Promotion will be disqualified from participation in the Promotion. If in the judgment of Sponsor, the Promotion is compromised by viruses, bugs, non-authorized human intervention or other causes which corrupt the administration, security, fairness or intended proper play of the Promotion, Sponsor reserves the right, in its sole discretion, to discontinue, suspend, modify or terminate the Promotion and proceed to select potential Winners in a manner it deems fair and reasonable including, without limitation, the selection of potential Winners in a random drawing from among entries received prior to any such discontinuation, suspension, modification or termination. In the event that production, technical, programming or any other reasons cause more than the stated number of prizes as set forth in these Official Rules to be available and/or claimed, Sponsor reserves the right to conduct a random drawing to award the stated number of prizes from among all eligible claimants. Sponsor has no responsibility for any late, lost, illegible, undeliverable/undelivered or postage due entries or mail.
9. PRIVACY POLICY: Online participation in the Promotion is subject to Sponsor's Privacy Policy as stated at http://SUBWAYfreshbuzz.com/docs/privacy.asp or by writing to SFAFT c/o 488 Wheelers Farms Road, Milford, CT 06461.
10. PUBLICITY RIGHTS: By accepting a prize, each Winner agrees to allow Sponsor and/or Sponsor's designees the perpetual right to use his/her name, biographical information, photos and/or likeness, and statements for promotion, trade, commercial, advertising and publicity purposes, at any time or times, in all media now known or hereafter discovered, world wide, including but not limited to on the World Wide Web and Internet, without notice, review or approval and without additional compensation except where prohibited by law.
11. DISPUTES/ GOVERNING LAW: Except where prohibited, by participating in the Promotion, participants agree that: (a) except as otherwise specifically set forth in these Official Rules, any action arising out of or relating to these Official Rules or the rights and obligations of any participant and/or Sponsor shall be filed exclusively in the United States District Court for the Eastern District of Michigan (Southern Division) or the appropriate Michigan State Court located in Oakland County, Michigan; and participants hereby consent and submit to the personal jurisdiction of such court for the purposes of litigating any such action, and any right to a trial by jury is hereby waived; (b) any and all disputes, claims, and causes of action arising out of or connected with these Official Rules, and/or the rights and obligations of any participant and/or Sponsor shall be resolved individually, without resort to any form of class action; (c) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred and in no event will participants be entitled to receive attorneys' fees or other legal costs; (d) under no circumstances will participants be permitted to obtain injunctive or other equitable relief and a participant's sole remedy will be an action at law for damages to the extent allowed by sub-paragraphs (c) and (e) of this Rule 11; and (e) under no circumstances will participants be permitted, and participants hereby waive all rights, to: (i) claim punitive, exemplary, special, incidental, indirect and consequential damages and any other damages (whether due to negligence or otherwise), other than for actual out-of pocket costs described in (c) above; and (ii) have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of any participant and/or Sponsor shall be governed by and construed in accordance with the laws of the State of Michigan without giving effect or regard to any principles or doctrines of conflicts of law of the State of Michigan or any other jurisdiction. If any provision or provisions of these Official Rules shall be held to be invalid, illegal, unenforceable or in conflict with the law of any jurisdiction, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired thereby.
12. RELEASE: By participating, each participant (or their parent or legal guardian if participant is an eligible minor) releases and agrees: (a) to indemnify and hold harmless Sponsor & Others and each of their officers, directors, employees and agents from and against any and all costs, claims, damages, or any other injury, whether due to negligence or otherwise, to person(s) or property (including, without limitation, death or violation of any personal rights, such as violation of right of publicity/privacy, libel, or slander), due in whole or in part, directly or indirectly, to participation in the Promotion, or arising out of participation in any Promotion or prize related activity; (b) all causes of action arising out of or connected with this Promotion, or any prize awarded, shall be resolved individually, without resort to any form of class action; (c) that under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses; and (d) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, excluding attorneys' fees and court costs.
13. GENERAL: By entering the Promotion, participants agree to abide by these Official Rules. The Promotion is subject to all applicable federal, state and local laws. Sponsor reserves the right to disqualify any individual found, in its sole opinion, to be tampering with the operation of the Promotion; to be acting in violation of these Official Rules; or to be acting with the intent to disrupt the normal operation of the Promotion. Any use of robotic, automatic, macro, programmed, third party or like methods to participate in the Promotion will void any attempted participation effected by such methods and the disqualification of the individual utilizing the same. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW. ENTRANTS ENGAGING IN ANY OF THE FOREGOING ACTIVITIES MAY BE DISQUALIFIED AND FORFEIT ANY PRIZES WON. Void outside of the 50 United States and District of Columbia. Void in Puerto Rico and wherever prohibited or restricted by law. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. In particular, employees of Sponsor & Others are not authorized to waive, modify or amend any provision or provisions of these Official Rules in any manner whatsoever.
14.
